Tal Career Agent : Terms of Service

The terms of use (“Terms”) contained herein govern the use of services (“Services”) provided by all platforms & services affiliated with WaterCooler Chat Pvt. Ltd. (“Tal”, “we”, “us”, “our”) an Indian Company with its registered office at B704, Rajshree Avenue, Jairaj Nagar, Borivali West, Mumbai, Maharashtra 400092 including but not limited to the Website, the application (Appstore, Playstore), Twitter handle, (collectively referred to as the “Platforms”), effective from 15/01/2026 (“Effective Date”)

These terms are binding on the Users of Tal (“you”, “your”, “User(s)”), which includes any person or entity who accesses, registers, downloads, browses, or uses in any form, general or specific, the Services provided by Tal, through its Platforms. Please read them carefully before using the Services provided by Tal on all of our platforms.

These Terms of Service (“Terms”) govern your access to and use of Tal, an automated career-information and notification service delivered through supported messaging platforms and other communication channels (the “Services”). Tal is an application and website published by M/s. Watercooler Chat Private Limited, it is a mobile-first, chat-based hiring marketplace with an AI powered career discovery and matching assistant, connecting candidates directly with hiring managers and executives.

The User acknowledges and agrees that the User has read the Terms carefully, understands its meaning and intent, and is aware and accepts all the Terms contained herein and the Privacy Policy before using the Platforms.

By accessing, opting into, receiving, or using the Services in any manner, you agree to be bound by these Terms. If you do not agree, you must discontinue use of the Services immediately.

1. DEFINITIONS AND INTERPRETATION

Unless the context otherwise requires:

  • “Tal”, “we”, “us”, or “our” refers to the owner and operator of the Services.
  • “Affiliate(s)” means any entity that directly or indirectly controls, is controlled by, or is under common control with M/s Water Cooler Chat Private Limited.
  • "Applicable Law(s)" means any and all applicable substantive and procedural laws including but not limited to, the Laws of India and other relevant laws applicable to the User(s).
  • “Content” means all information, messages, text, links, recommendations, inputs, or materials communicated through or submitted to the Services.
  • “Services” means the automated delivery of career-related information, alerts, updates, summaries, and related content.
  • “Third-Party Services” means platforms, tools, websites, or services not owned or controlled by Tal, including messaging platforms, which act solely as communication channels.
  • “User”, “you”, or “your” refers to any individual accessing or using the Services.
  • “Visitor” shall include lurkers, visitors and/or readers who inter-alia browse, read and watch content provided by Tal.

Headings are for convenience only and shall not affect interpretation.

2. ELIGIBILITY

You represent and warrant that:

  • The User is at least 18 years of age;
  • The User shall not be eligible for using the Services if the User is located in, or is a citizen or resident of any state, country, territory, or other jurisdiction where the use of the Services would be illegal or otherwise violate any applicable laws.
  • Where an account is created for a legal entity that is not a natural person, the User represents that they have full authorisation and legal authority to accept the present Terms of Use on behalf of the said legal entity.
  • The User may be required to create an account to use the services provided by Tal. The User shall not make any username that breaches the User Code of Conduct under these Terms while choosing their username.
  • The User not prohibited from using the Services under applicable law.

Tal reserves the right to refuse access to the Services at its sole discretion.

3. ACCEPTANCE OF TERMS AND COMMUNICATION CHANNELS

3.1 By opting into, accessing, or continuing to receive communications from Tal, you expressly consent to:

  • receiving automated or system-generated messages; and
  • delivery of such messages through supported messaging platforms (such as WhatsApp, SMS, etc.) or other communication channels.

3.2 Third-party messaging platforms act solely as delivery mechanisms and do not operate, control, endorse, or assume responsibility for the Services.

4. NATURE AND SCOPE OF SERVICES

4.1 Tal provides an automated informational service designed to facilitate:

  • discovery of career-related opportunities;
  • periodic alerts, updates, or summaries; and
  • presentation of publicly available or third-party information that may be relevant to Users.

4.2 Additionally, for the use of our Services, certain specific terms may apply

4.2.1 The user is solely responsible for correctness & completeness of resume data & other information provided by the user to Tal or in communications with recruiters who have reached out to the user.

4.2.2 Tal expressly disclaims any liability arising out of the said information provided by the user

4.2.3 The user agrees to indemnify Tal for all losses incurred by the user due to any false, distorted, manipulated, defamatory, libelous, vulgar, obscene, fraudulent or misleading facts or otherwise objectionable averments made by the user us or recruiters

4.2.4 Tal offers no guarantees or warranties regarding satisfactory responses to user-submitted resumes or data by potential employers

4.2.5 Tal does not guarantee nor offers any warranty of the credibility, conduct of employers who access resumes & other user information.

4.2.6 Users are solely responsible for verifying the authenticity of responses to their job applications and any actions taken thereafter as a result including but not limited to time invested, communications and travel arrangements made by the user.

4.2.7  Tal reserves the right to reject or delete user-submitted information without explanation where reasonably necessary.

4.2.8 This free service allows users to upload & modify their own data only. Users are not entitled to upload / modify data of another person.

4.2.9 Tal is not responsible for job content created by their respective organisations or third parties responsible for creating these job vacancies

4.2.10 Users consent to communication between themselves and potential employers through Tal or other communication platforms through contact details submitted by the user.

4.2.11  We may use your application materials (including public CVs and responses to employer's questions) to determine whether you may be interested in a Job and we or potential recruiters from other organisations may reach out to you for such a job.

4.2.12  You represent that you are not a minor and are not under any legal incapacity or other disability which limits your ability to participate as a candidate for a job you have applied to.

4.2.13 All changes / modifications made by the user to their information, resume, data or preferences may take up to 48 hours to come under effect

4.2.14 Users claim no copyright or intellectual property rights over data uploaded or provided by them.

4.3 The Services are not intended to function as a general-purpose conversational assistant and are limited to predefined informational and notification-based use cases.

4.4 Tal does not:

  • act as an employment agency, recruiter, placement service, or headhunter;
  • negotiate, apply, or communicate on behalf of Users with employers; or
  • guarantee interviews, job offers, responses, or outcomes of any kind.

4.5 Tal acts as an intelligent matching and information assistant and not as a recruitment agency or career counsellor.

5. NO PROFESSIONAL OR EMPLOYMENT ADVICE

All Content is provided for general informational purposes only.

Nothing provided through the Services constitutes legal advice, employment advice, career counselling, human resources advice, or professional consultation. Any automated feedback from Tal is not a substitute for professional career counselling.

Any reliance on the Content is solely at your own discretion and risk.

6. USER-PROVIDED INFORMATION

6.1 Users may voluntarily provide personal, professional, or preference-based information to enable delivery of relevant updates.

6.2 You represent and warrant that:

  • all information provided by you is accurate, lawful, and not misleading; and
  • you have the right and authority to provide such information.

6.3 Tal does not independently verify all user-provided information and shall not be responsible for inaccuracies arising therefrom.

7. USER CONTENT LICENSE

7.1 By submitting or sharing any Content through the Services, you grant Tal a worldwide, non-exclusive, royalty-free, revocable licence to use, store, process, reproduce, and display such Content solely for the purpose of operating, improving, and providing the Services.

7.2 You retain ownership of your Content. Nothing in these Terms transfers ownership of your Content to Tal.

8. INFORMATION FROM PUBLIC AND THIRD-PARTY SOURCES

8.1 In the course of providing the Services, Tal may reference, aggregate, or present information obtained from:

  • publicly available sources; and
  • Third-Party Services.

8.2 Tal does not control, endorse, or guarantee the accuracy, completeness, availability, or legality of such information and shall not be responsible for reliance placed thereon.

9. AUTOMATION AND SYSTEMS DISCLOSURE

9.1 The Services rely on automated systems to:

  • identify potentially relevant information; and
  • determine the timing, frequency, or relevance of notifications.

9.2 Automated outputs may be incomplete, varied, outdated, or context-dependent. You acknowledge that independent judgment should always be exercised.

10. USER CODE OF CONDUCT AND ACCEPTABLE USE

You agree not to, directly or indirectly:

  • misuse, interfere with, or disrupt the Services or related systems;
  • attempt to reverse engineer, scrape, extract, probe, or circumvent technical safeguards;
  • use bots, scripts, or automated tools to access the Services;
  • impersonate any person or entity or misrepresent affiliation;
  • submit unlawful, defamatory, abusive, obscene, or harmful content;
  • Reuse information obtained via Tal for spam or unsolicited marketing; or
  • Collect or scrape personal data of other users or recruiters; or
  • violate applicable laws, regulations, or third-party rights; or
  • use the Services in a manner that may cause legal, reputational, or operational risk to Tal.

Tal may suspend, restrict, or terminate access, remove content, or take legal action in case of violations of this User Code of Conduct.

11. SUSPENSION AND TERMINATION

The Terms are effective from the Effective Date and shall remain in force until terminated under this clause.

Tal reserves the right to suspend, restrict, or discontinue the Services, in whole or in part, at any time, with or without notice, including where required to:

  • enforce these Terms;
  • Mitigate compliance risk; or
  • comply with applicable laws, regulations, or third-party platform policies.

In the event of such termination, Tal shall not be liable for any loss of information, damage, or any other loss of similar nature.

The User may request the termination of their account by contacting Tal. Upon completion of such request, the User’s right to use the Platforms ceases.

12. INTELLECTUAL PROPERTY

12.1 All rights, title, and interest in and to the Services, including Content generated by Tal, branding, design, workflows, and systems, are owned by or licensed to Tal.

12.2 You are granted a limited, non-exclusive, non-transferable, and revocable licence to access and use the Services for personal, non-commercial purposes only.

13. FEES AND PAID FEATURES

13.1 Certain features of the Services may be offered for a fee in the future.

13.2 Any applicable fees, payment terms, or conditions will be communicated separately prior to implementation.

Tal reserves the right to modify, introduce, or discontinue free or paid features at its discretion.

14. DISCLAIMER OF WARRANTIES

The Services are provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, Tal disclaims all warranties, express or implied, including warranties of accuracy, reliability, fitness for a particular purpose, and non-infringement.

15. LIMITATION OF LIABILITY

To the maximum extent permitted under applicable law:

  • Tal shall not be liable for any indirect, incidental, consequential, or special damages; and
  • Tal’s aggregate liability shall not exceed INR 1,000 or the total amount paid by you to Tal (if any), whichever is lower.

16. INDEMNITY

You agree to indemnify, defend, and hold harmless Tal from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of:

  • your use of the Services;
  • violation of these Terms; or
  • infringement of any third-party rights.

17. PRIVACY AND DATA PROTECTION

Tal processes personal data in accordance with its Privacy Policy and applicable data protection laws, including the Digital Personal Data Protection Act, 2023.

18. NOTICES AND COMMUNICATIONS

Tal may provide notices or communications to Users through:

  • the Services;
  • supported messaging platforms; or
  • other reasonable means.

Such notices shall be deemed effective upon delivery or posting.

19. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of India.

The courts at Bangalore, Karnataka shall have exclusive jurisdiction.

20. MISCELLANEOUS

  • Severability: If any provision is held invalid, the remaining provisions shall remain in full force.
  • Waiver: Failure to enforce any right shall not constitute a waiver.
  • Assignment: Tal may assign its rights and obligations without restriction.
  • Force Majeure: Tal shall not be liable for delays or failures caused by events beyond reasonable control.
  • Rights Reserved: Tal reserves the right to modify, update and/or change the Terms of Use contained herein from time to time. Such changes shall be reflected in the Terms of Use, which may be updated from time to time, and continuing usage shall imply acceptance of the new Terms of Use
  • Updates to Terms: We may revise these Terms of Use from time to time in our sole discretion. If there are any material changes to these Terms of Use, we will notify you as required by applicable law. You understand and agree that you will be deemed to have accepted the updated Terms of Use if you continue to use our Services after the new Terms of Use takes effect.
